General Sales Terms

I-GENERAL POINTS

The present general terms of sale apply to all the sales concluded at distance by STELLINOX company - SAS, of French law, with a capital of 569 100 €, registered in the Register of companies of Clermont-Ferrand, under the number 451 285 878, the head office of which is situated 39 avenue of the General de Gaulle - 63300 THIERS (France) - with an Internet user (below " the buyer ") by means of the web site at the address www.stellinox.eu (below "the Web site").
Any order implies, on behalf of the customer, the acceptance of all the present general sales terms, and when necessary, particular conditions granted on the order.

II - ACCEPTANCE OF GENERAL SALES TERMS

The fact for the buyer to place an order on the web site with STELLINOX implies the support of the buyer in the present general sales terms.
The buyer shows his support during the placing of the order by checking the corresponding box identified as follows:
" I read general sales terms and I adhere to it without reserves "
Failing that, no order can be placed with STELLINOX.
Because of this action, the buyer declares to have acquainted with the present general sales terms and to accept it.

III. APPLICABLE LAW

The present conditions are submitted to the French law. In case of dispute between STELLINOX and the buyer, only the court of Clermont-Ferrand will be competent. The French version of our General Sales Terms will be taken into account in case of dispute.

IV. GEOGRAPHICAL ZONE AND VALIDITY DURATION OF THE OFFERS

the offer of sale proposed by STELLINOX on its web site is intended for the professionals of FRANCE, and zones of countries such as define by post : Zone 1. The offers of products are valid as long as accessible on the web site.

V. PROCEDURE OF ORDER

Every Internet user who wishes to place an order has to register beforehand on the web site. Once registered, the buyer can order by using his e-mail address and his password.
The procedure of order is the following one:
· The buyer selects products and quantities which he wishes to order and can verify at any time products selected in the section " Your basket ", permanently present.
· The buyer then verifies his delivery and invoicing addresses, and chooses the mode of transport.
· the buyer then validates definitively his order by clicking the button "Next"
· After validation by the buyer of the order, the buyer proceeds to the payment of the price by choosing a way of payment.
· The buyer will then receive an e-mail of confirmation of the recording of his order from STELLINOX.
STELLINOX reserves the right not to record the order placed by the buyer, in particular:
· For not having received the payment by check or transfer, the failure of the banking transaction.
· And more generally in the case of justifiable motive such as planned by the article L-122-1 of the Code of the consumption which stipulates "It is forbidden to refuse to a consumer the sale of a product or the performance of a service, except justifiable motive".
In this case, STELLINOX will inform the buyer by e-mail about it.

VI. RIGHT TO WITHDRAW

According to provisions of the article L. 121-22 of the Code of the consumption, as regards a contract concluded by a professional for the needs for its activity, the right to withdraw is not applicable.
However, the buyer has a deadline of 7 working days to return articles which would not suit him ; this return necessarily has to be the object of a preliminary agreement from STELLINOX which will define the modalities of refund or establishment of credit note. This inquiry can be written to commercial@stellinox.eu or sent by fax to 04 73 51 35 24. The expenses of return are chargeable to the buyer.

VII. AVAILABILITY OF PRODUCTS
If was noticed the unavailability of a product after validation of the order by the buyer, STELLINOX will inform the buyer about it by e-mail, and will inform him about the predictable delay for delivery.

VIII - TRANSPORT and DELIVERY
The delivery delays are communicated with purely indicative purposes, and without guarantee. These delays run as from the day of reception of the payment of the order by the buyer and are calculated in working days: from Monday to Friday.

In any cases, STELLINOX makes a commitment on a maximum delivery delay of 30 days (except Sunday and holidays). This delay of 30 days constitutes the delay in which STELLINOX makes a commitment to deliver products. This delay is increased in case of period of annual closure, these ones being announced on the web site.
In case of non-compliance with this delay, the buyer can ask for the cancellation of the order according to the following provision of the article L114-1 of the Code of the consumption.
STELLINOX will reimburse the buyer as soon as possible and at the latest within 30 days following the date in which this right was exercised. Beyond, the owed sum will be by rights interest-bearing to the current legal rate. On proposal of STELLINOX, the buyer can however opt for credit note.
Freight charges are chargeable to the Buyer and depend on the way of delivery chosen during the order, as well as on the amount of the order (for metropolitan France) or on the weight (out of metropolitan France). Freight costs are indicated to the buyer during the signing of the order.
The buyer is informed that the order can possibly be split in several shipments or parcel. This division will be without incidence on the amount of freight costs such as defined above.

Delivery Free, freight and packing from 500 euros out of VAT for metropolitan France.
The freight and packing costs are calculated according to the place of delivery and the choice of the transport, and indicated when finalizing your basket.
The goods travel at the risks of the customer to whom it is up to verify the good state at the time of the delivery, and, in particular, to express the necessary and usual reservations with the carrier. This check has to concern the quality, the quantities and the article numbers of the goods.

Complaints have to be made to the carrier, who is only responsible, and by registered letter with recorded delivery within 48 hours on receipt of the goods.

IX - RETURN OF PRODUCTS - AFTER-SALES DEPARTMENT

STELLINOX draws the attention of the Internet user on the fact that he has to watch over to verify the nature, the state, the quantity, and more generally the conformity of products delivered to the contents of the concerned order and to unpack the product(s) in the presence of the carrier. A signature will be asked to the buyer to validate the reception of the delivery.
If the buyer notices that the packing is damaged, he necessarily has to note it on the delivery note and REFUSE the goods if the parcel is damaged. If damages are noticed after the departure of the carrier we shall not be able to take back one or several products. BE CAREFULL: the mention «subject to unpacking " has no legal value.

If the buyer notices a non-compliance or an imperfection of the product while the packaging was in good condition, he can inform STELLINOX about it by every possible means in particular by e-mail or by registered letter with recorded delivery so that STELLINOX can proceed to the replacement, the repair or the refund of the concerned product.
In order to facilitate the processing of the cases of imperfection or non-compliance, STELLINOX set up an after-sales department.

Within the framework of this after-sales department, it is asked to the buyer to inform rather STELLINOX of any non-compliance or imperfection of product by e-mail at the address commercial@stellinox.eu by specifying the following information:
name, first name, mail and phone address, invoicing address and/or delivery address of the parcel, Art. Nr(s) of one or several concerned products, the cause for return. Any return of goods has to be the object of a preliminary agreement from STELLINOX, and has to be asked within 7 working days from the reception of the parcel(s).
It is reminded that the replacement, the repair or the refund of products is bound to the fact that products concerned for return were supplied to the buyer by STELLINOX and that the buyer can prove the origin of this purchase.
After reception of the request of the buyer, STELLINOX will answer as soon as possible. In case of non-compliance or of known imperfection, the freight costs for return will be chargeable to STELLINOX on the basis of a Post colissimo or of a transport by standard carrier.
For any other causes, the expenses of return will be chargeable to the customer, who will have to return articles, after agreement of STELLINOX, in its original packing and unused.

X. PRICE OF PRODUCTS - PAYMENT
The prices shown on the Web site are indicated in euros (€), exclusive of taxes (H.T) and inclusive of all VAT ( T.T.C) in the basket and exclusive freight costs.
The prices and the applicable sales terms are the ones shown on the web site in the day of the validation of the order by the buyer.

The prices are payable in €, altogether and in a single payment by one of the means of payment proposed on the web site while placing the order.
The credit card payment is made by means of a system of secure payment S.S.L. The protocol S.S.L is a system of encoding of the seizure and the transmission of banking data. During the payment, the buyer is automatically redirected towards the site of the banking partner of STELLINOX. The last mentioned has in fact never access to the banking data of the buyer: he is only informed by the banking partner of the good transaction of the payment.

XI. RESPONSIBILITY
It is specified that the Art. Nr., the descriptions and information given on the web site were entered according to the information communicated by the suppliers, for articles not manufactured by STELLINOX. Photos have no contractual value and would not substitute themselves for the description of the product. So in case of not substantial difference between the photos of presentation, the texts, the illustrations and ordered articles, the responsibility of STELLINOX cannot be engaged.
According to the regulations in force, STELLINOX is not responsible in case of non-fulfilment (in particular of delay in delivery) for the order attributable to the buyer, due to the unpredictable and insuperable fact of a third party, or to the case of force majeure.

Considering tolerances of manufacturing, the indicated thicknesses of steel can vary of +/- 10 %.

XII. PIECE OF INFORMATION - COMPLAINT

The Internet user can also phone STELLINOX at the following number: +33 04 73 80 44 00, from 8 am till 12 am and from 1:30 am till 5 pm from Monday till Thursday; Friday from 8 am till 12 am.

XIII - Electric and Electronic Equipment’s Waste (DEEE)
No "eco organization" in France being still approved in the professional domain, STELLINOX delegates the responsibility of the waste treatment to the customer user, who will have to manage himself the waste in the conditions planned by the Article R 543-195 of the Code of the environment.
